These Terms of Service (“Terms”) apply to your access to and use of HelloChat’s websites and online products and services (collectively, the “Service”). By clicking your consent (e.g., “Create”, “Continue”, “Sign in”, “Sign up”) or by accessing or using the Service, you agree to be bound by these Terms.
If you use the Service on behalf of an organization, you represent and warrant that you are authorized to accept these Terms for that organization, and “you” refers to that organization.
We may restrict, suspend, or terminate your access to the Service at our discretion in accordance with these Terms.

HelloChat is a subscription-based SaaS platform that helps you create and manage customer support policies, workflows, knowledge bases, and playbooks, and uses approved documentation to power an AI support agent.
We may update, change, suspend, or discontinue any part of the Service at any time, including introducing or removing features, changing limits, or offering beta features. Beta or experimental features may be modified or removed and may not be supported.
You must be at least 13 years old or the minimum age required in your jurisdiction to consent to use online services. If you are under 18, you may use the Service only with permission of a parent or legal guardian, who agrees to be bound by these Terms and is responsible for your activity.
You may not use the Service if you are barred from using it under applicable law or if your account is suspended, terminated, or otherwise not in good standing.
You may need to create an account (“Account”) to access some or all features. You agree to provide accurate information and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activities under your Account.
You may not share, transfer, sell, or permit others to access your Account except as allowed by your plan. You must notify us promptly of any unauthorized access or suspected security breach.
Subject to your ongoing compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes.
We and our licensors reserve all rights not expressly granted to you. Third-party software (including open source) may be governed by its own terms, and you are responsible for complying with those terms.
Plans. We offer subscription plans as presented at checkout. Subscriptions may renew automatically unless you cancel in accordance with your account settings and any cancellation instructions provided at checkout.
Merchant of Record. Payments are processed by Lemon Squeezy as the Merchant of Record (“MoR”). Lemon Squeezy’s terms may apply to payment processing, invoicing, taxes, chargebacks, and refunds.
Taxes. Applicable taxes (e.g., VAT/GST/sales tax) may be calculated and collected at checkout as required by law and/or the MoR obligations.
Non-payment & reversals. If a payment fails, is reversed, or becomes subject to a chargeback, we may suspend or limit access until the issue is resolved.
Refunds. Refund eligibility and handling are governed by our Cancellation & Refund Policy and/or the MoR’s refund handling (as applicable). Where different rules apply, additional verification or restrictions may apply to prevent fraud and comply with law.
You agree not to use the Service in a way that could damage the Service or compromise its availability, security, or integrity. In particular, you agree not to:
We may remove content, restrict functionality, suspend Accounts, or terminate access to enforce these Terms, protect users, prevent abuse, reduce chargeback/fraud risk, or comply with law.
Customer Data. “Customer Data” means data you or your end users submit to the Service, including customer messages, documents, knowledge base content, policies, and configurations.
Your responsibilities. You are responsible for Customer Data and represent that you have all required rights, notices, and consents to submit and process it through the Service, including where Customer Data contains personal information or confidential information.
Retention & disclosure. We may retain Customer Data as needed to provide the Service, maintain business records, prevent abuse, enforce these Terms, and comply with legal obligations. We may disclose Customer Data if required by law or valid legal process.
AI outputs may be inaccurate. AI-generated outputs may be inaccurate, incomplete, or inappropriate for your situation. You are responsible for configuring the Service (approved knowledge sources, escalation rules, review processes) and for verifying outputs where appropriate.
No guaranteed outcomes. We do not guarantee that AI outputs are error-free or that the Service will meet your requirements or produce any specific results.
End-user communications. If you use HelloChat to communicate with your customers, you are responsible for ensuring appropriate disclosures and compliance with consumer protection, privacy, and communications laws applicable to your business.
Our IP. The Service, including software, design, and branding, is owned by HelloChat and/or its licensors and is protected by applicable laws. Except for the limited rights granted to you, we reserve all rights not expressly granted.
Your IP. You retain ownership of Customer Data. You grant us a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Data solely to provide, maintain, secure, and improve the Service, prevent abuse, and comply with law.
Feedback. If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.
We respect intellectual property rights. If you believe content on the Service infringes your rights, please contact us at support@gethellochat.com with: (a) your contact information; (b) a description of the work or right allegedly infringed; (c) the location of the allegedly infringing material; and (d) a statement that you have a good faith belief the use is not authorized. We may remove or restrict access to content and may terminate repeat infringers where appropriate.
The Service may integrate with third-party services (including payment processors and AI model providers). Third-party services are governed by their own terms and policies. We are not responsible for third-party services, and your use of them is at your own risk.
Each party may receive confidential information from the other. Each party will use reasonable care to protect the other’s confidential information and use it only as necessary to perform under these Terms. This does not apply to information that is publicly available through no fault of the receiving party, rightfully received from a third party, or independently developed.
We may restrict access to the Service in certain regions to comply with legal, security, or operational requirements (including fraud/chargeback prevention). You are responsible for ensuring your use of the Service complies with local laws and regulations.
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE (INCLUDING AI OUTPUTS AND ANY USER CONTENT) IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF PERFORMANCE.
WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, OR THAT ANY DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HELLOCHAT OR ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USAGE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID US (OR THE MOR ON OUR BEHALF) FOR THE SERVICE IN THE PAST TWELVE MONTHS.
Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the greatest extent permitted.
To the fullest extent permitted by applicable law, you will indemnify, defend, and hold harmless HelloChat, its affiliates, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your access to or use of the Service; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any law or rights of a third party.
We may update these Terms from time to time. If a change is material, we will post updated Terms and update the “Last updated” date above. Continued use of the Service after the effective date of updated Terms means you accept the updated Terms.
You may stop using the Service at any time. We may suspend or terminate your access to the Service with or without notice if: (a) you materially breach these Terms; (b) we must do so to comply with law; or (c) your use poses a security, fraud/chargeback, or operational risk. Where reasonable, we will provide notice and an opportunity to cure.
These Terms and your use of the Service are governed by the laws of the Republic of Korea, without regard to conflict of laws principles. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the courts located in Seoul, Republic of Korea, unless applicable law requires otherwise.
No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
Severability. If any provision is found unenforceable, the remaining provisions will remain in effect.
Entire Agreement. These Terms (and any policies referenced) are the entire agreement between you and HelloChat regarding the Service, and supersede any prior agreements on that subject.
