By accessing or using the Service, you agree to these Terms of Service ("Terms"). If you use the Service on behalf of an organization, you represent you have authority to bind that organization, and "you" refers to that organization.
HelloChat is a subscription-based SaaS platform for creating and managing customer support policies, workflows, knowledge bases, and playbooks, and using approved documentation to power an AI support agent.
You must provide accurate information and keep your account credentials secure. You are responsible for all activity under your account and must notify us promptly of any unauthorized access.
Plans. We offer monthly and/or annual subscription plans as presented at checkout.
Merchant of Record. Payments are processed by Paddle as Merchant of Record (MoR). Paddle's terms may apply to payment processing, invoicing, taxes, chargebacks, and refunds.
Taxes. Applicable taxes (e.g., VAT/GST/sales tax) may be calculated and collected at checkout.
Non-payment. If payment fails or is reversed, we may suspend access until payment is resolved.
You agree not to:
Customer Data. You are responsible for Customer Data you submit or process, including ensuring you have all required rights, notices, and consents.
AI outputs. AI-generated outputs may be inaccurate or incomplete. You are responsible for how you configure the Service (approved knowledge sources, escalation rules, review processes) and for verifying outputs where appropriate. We do not guarantee that AI outputs are error-free.
Our IP. The Service and related materials are owned by HelloChat or its licensors.
Your IP. You retain ownership of Customer Data. You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and operate the Service, prevent abuse, and comply with law.
Each party may receive confidential information from the other. Each party will use reasonable care to protect the other's confidential information and use it only to perform under these Terms.
By you. You may cancel at any time as described in the Cancellation & Refund Policy.
By us. We may suspend or terminate access if you materially breach these Terms, if required by law, or if your use poses a security or operational risk. Where reasonable, we will provide notice and an opportunity to cure.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THAT PERIOD.
Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the greatest extent permitted.
These Terms are governed by the laws of the Republic of Korea. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the courts located in Seoul, Republic of Korea, unless applicable law requires otherwise.
We may update these Terms from time to time. If changes are material, we will post updated Terms and update the effective date. Continued use after the effective date means you accept the updated Terms.
